HOW TO FIND YOUR SHARES

Legion M's stock ownership records are maintained electronically and without the issuance of paper certificates. To accommodate our ambitious scale and provide our shareholders with electronic access to their shares, Legion M has partnered with Dealmaker Shareholder Services, an SEC registered transfer agent. Once your investment has closed (typically after the round ends), you will receive an invitation to login to your Dealmaker account and view your shares from all rounds.

If you can’t find your Dealmaker invitation, please check your inbox for an email from noreply@dealmaker.tech with instructions on how to login to your account. We encourage you to add noreply@dealmaker.tech (and team@legionm.com) to your safe sender list to ensure the emails get through. Also, keep an eye on your spam/promotions folders on the chance they are routed there by mistake. If you have any questions, send us mail at team@legionm.com and we’ll get you squared away.

FAQ

WHAT IS A “TRANSFER AGENT”?

A transfer agent is a 3rd party company responsible for maintaining the official record of shareholders in a company (i.e. the Cap Table). In the old days it was a guy with a quill making entries in a big book. Today it’s all done electronically.  

As an equity-crowdfunded company, Legion M uses an independent SEC-registered transfer agent to hold and maintain our shareholder records. This is intended to give you, the investor, assurance that the cap table and shareholder records are being maintained according to SEC standards.

WHAT IS THE DIFFERENCE BETWEEN THE TRANSFER AGENT AND STARTENGINE OR WEFUNDER?

StartEngine and Wefunder are SEC-regulated equity-crowdfunding funding portals that allow you to invest in companies like Legion M. Once your investment has closed, it is recorded by the transfer agent. The transfer agent is responsible for keeping track of ALL the company's shareholders – including yours and all the other investors along with the founders, employees, and advisors like William Shatner and Dean Devlin.

WHAT ABOUT INVESTMENTS IN MOVIES?

Investments in individual films (the William Shatner: You Can Call Me Bill, My Dead Friend Zoe, and Fade to Black) are held at Wefunder. To find them, just go to wefunder.com and navigate to your Portfolio page.

HOW CAN I SEE MY SHARES?

You can log into the portal and see all your share purchases in one place. You’ll also be able to update the contact information associated with your shares - you want to make sure we can reach you if (when!) we IPO, list, or have an exit that allows you to sell your shares. The portal also has handy links to things like the company’s annual reports and latest news.

IS THERE A COST FOR THIS?

There is no cost for you. Legion M pays all the fees associated with the transfer agent. 

WHO ARE LEGION M’S PREVIOUS TRANSFER AGENTS?

When Legion M launched in 2016, our shares were held by Carta. In 2020, we moved to KoreConX, and in 2024 we moved to DealMaker.

WHY ARE WE CHANGING?

With nearly 60,000 investors, Legion M is one of the largest equity crowdfunded communities on the planet. This creates some unique challenges for transfer agents. With that in mind, we’re constantly reviewing and evaluating our options to determine what we believe is in the best interest of the company and its shareholders. We believe DealMaker is the right solution for the next stage of Legion M’s growth, and we're excited to partner with them to continue to build and innovate in the space!

WHY DON’T I SEE MY SHARES?

DealMaker's primary dashboard page only shows details for shares purchased directly via their platform. So in order to view any previous investments that have been imported from other funding portals (like Wefunder or StartEngine), please navigate to the INVESTMENTS tab, then click on the attached book-entry statement. Note: If when you log in, it starts you on the dashboard page, you'll need to select Legion M from your list of "Companies" first, in order to get to the INVESTMENTS tab.

WHY DOES IT SAY “UNREGISTERED GUEST” ON MY PROFILE?

When you are logged into your DealMaker account, you can navigate to your profile page (via the menu in the top right corner of your screen) to update your name so that it will show correctly on your account. The "unregistered guest" designation is an artifact from the transition. During that process, Dealmaker technically created everyone's accounts when they uploaded the previous investment information, which means that whenever someone logs in for the first time, they just have to adjust their settings.
